Company Registration Process
There are two most popular types of companies you can register in Zimbabwe namely:
- Private Limited Company (PLC)
- Public Limited Company (PBC)
The company registration process is divided into 2 stages. There is the name search and registration stage. The process is basically the same for both Private Limited Company’s and Private Limited Company’s
Stage 1- Name Search
Choosing a company’s name is one of the most important aspects of company formation as the name will be associated with the brand/label the company is trying to build. Listed below are some factors that need to be considered when choosing a good company name
- Should be unique/distinctive
- Should be easy to pronounce, identify & memorize
- Should not portray wrong or bad meanings
Reasons why names may be rejected
- When the name conflicts with an already registered name
- When the company name is likely to mislead /deceive the public eg a company names Ministry of Industrial Machines
A Private Limited Company
A private limited company is the most popular form of business incorporation in Zimbabwe. The process of registering a Private Limited Company takes 3-5 business days
Stage 2- Incorporation and Registration of a Private Limited Company
After your name has been reserved, we prepare the following documents
- CR6 (Formerly Cr14)
- CR5 (Formerly Cr6)
- Memorandum of Association
- Articles of Association
The Memorandum & Articles of Association are signed by shareholders, the CR5 & CR6 signed by the secretary of the company and submitted to the Registrar of Companies in duplicate.
The Registrar will then register the company and issue the certificate of incorporation.
A Public Business Corporation
After your name has been reserved, the CR28 document for the registration of the PBC must be submitted to the Registrar of Companies in duplicate. This process involves the appointment of members (Shareholders/Directors) of the PBC. Each member is assigned a percentage of ownership in the PBC. The total percentage for all members must add up to 100%
The CR28 Document contains the name of the company, operating address of the company, business objectives and the accounting officer of the PBC.
When the registration process has been completed the registrar will then issue the certificate of incorporation
